Terms of Service

Please read these Terms of Service ("Terms") carefully before using Lapas. By accessing or using lapas.io or any related services (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is provided by Pro Sistemos, MB, a company registered in Lithuania ("Company", "we", "us", "our").
1. The Service
Lapas is a browser-based 2D nesting software that optimizes the placement of parts on sheet material. We provide the Service on a subscription basis. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice where practicable.
2. Eligibility and accounts
You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms. By using the Service on behalf of a business, you represent that you have authority to bind that business.
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at hello@lapas.io if you suspect unauthorized use.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Reverse-engineer, decompile, disassemble, or attempt to extract source code from the Service
- Use automated scripts, bots, or scrapers to access the Service in ways that exceed normal use
- Upload files containing malware, viruses, or malicious code
- Circumvent or attempt to bypass billing systems, usage limits, or access controls
- Resell, sublicense, or white-label the Service without our written permission
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
4. Subscriptions and billing
Lapas offers a free plan with usage limits and a paid Pro plan. Current pricing is listed on our pricing page and may change with 30 days' notice to existing subscribers.
Pro subscriptions are billed monthly in advance via Stripe. Prices are in USD and do not include applicable taxes, which will be added at checkout where required. Subscriptions renew automatically each billing period unless cancelled.
If a payment fails, we will retry up to three times over seven days. After that, your account will be downgraded to the free plan until payment is resolved.
5. Cancellation and refunds
You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain Pro access until then.
We do not offer refunds for partially used billing periods, except: (a) where required by applicable law, or (b) at our sole discretion in cases of demonstrable service failure on our part.
EU / EEA consumers: You have a statutory right of withdrawal of 14 days from the date of purchase of a new subscription, unless you have already used the service during that period and acknowledged waiving this right at checkout.
6. Your content
You retain all ownership rights to DXF, SVG, and other files you upload ("Your Content"). By uploading, you grant us a limited, non-exclusive, royalty-free licence to process Your Content solely to provide the Service to you. We do not use Your Content to train AI models, sell it, or share it with third parties.
You represent that you have the rights to upload Your Content and that it does not infringe any third-party intellectual property rights.
7. Intellectual property
The Lapas software, including its nesting algorithms, user interface, design, branding, and documentation, is the exclusive property of Pro Sistemos, MB and its licensors, protected by copyright and other intellectual property laws. These Terms do not transfer any ownership to you. You receive only a limited, non-transferable, non-sublicensable licence to use the Service during your active subscription.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT NESTING RESULTS WILL BE OPTIMAL OR SUITABLE FOR ANY PARTICULAR PURPOSE.
You are solely responsible for verifying all nesting outputs before use in production. Always review results before cutting material.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRO SISTEMOS, MB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of: (a) the total amount you paid for the Service in the 12 months preceding the claim, or (b) $100 USD.
EU / EEA consumers: Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable consumer protection law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Pro Sistemos, MB and its officers, members, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement of any third-party intellectual property or other rights.
11. Dispute resolution
For US-based users
You and Pro Sistemos, MB agree to resolve any dispute, claim, or controversy arising from these Terms or your use of the Service through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify. You waive any right to a jury trial and to participate in class-action lawsuits.
Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration will take place virtually or in a mutually agreed location. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
You have 30 days from the date you first agreed to these Terms to opt out of arbitration by emailing hello@lapas.io with the subject "Arbitration Opt-Out."
For EU / EEA users
If you are a consumer in the EU or EEA, you may bring claims before the courts of your country of residence. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
12. Governing law
For US-based users: these Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except where superseded by mandatory law in your state.
For all other users: these Terms are governed by the laws of the Republic of Lithuania and, where applicable, EU law.
13. Service availability and support
We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible. Support is available by email at hello@lapas.io. Pro plan subscribers receive priority support with a target response time of one business day.
14. Termination
We may suspend or terminate your account immediately and without notice if we believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, 10, 11, and 12 survive termination.
15. Changes to these Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your account before the effective date.
16. Miscellaneous
These Terms constitute the entire agreement between you and Pro Sistemos, MB regarding the Service. If any provision is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent.
